VALRHONA REWARDS TERMS & CONDITIONS
1. Membership & Eligibility
The Valrhona Rewards (“Program”) is a rewards program offered by Valrhona, Inc. (“Valrhona”) to its customers located in the U.S. (excluding Puerto Rico, the U.S. Virgin Islands, and other commonwealths, territories, and possessions). Membership in the Program is limited to individual consumers and to a single account per individual. Employees, officers, agents and representatives of Valrhona, its distributors and its and their affiliates are not eligible for Membership. You must be age 18 years or older and a legal resident of the United States to be eligible for Membership.
BY SUBMITTING AN APPLICATION AT OUR WEBSITE FOR MEMBERSHIP IN THE PROGRAM (WWW.VALRHONA-CHOCOLATE.COM), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”), AS THEY MAY BE AMENDED FROM TIME TO TIME AT OUR WEBSITE. NO PURCHASE IS NECESSARY TO BECOME A MEMBER. REWARDS BASED ON PURCHASES ACCRUE IN CONNECTION ONLY WITH PURCHASES MADE AT OUR WEBSITE.
2. Earning and Redeeming Program Points
The benefits available through the Program are based on the number of points earned by the Member. Points can be earned each time a Member gives his or her Valrhona Rewards number when making a payment for a purchase on our Website or when he or she participates in a bonus promotion offered by Valrhona.
Under the Program, the Member earns one (1) Valrhona Rewards point (“Point”) for every U.S. dollar spent on merchandise (excludes taxes and shipping) purchased online from the United States and to be delivered in the United States. Points also can be earned based on certain personal engagement with our website. From time to time, Valrhona in its sole discretion may offer a Member a special promotion that includes “Bonus Points." Bonus points, such as “double" points, will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in the promotional offer.
Generally, points for qualifying purchases are automatically added to a Member’s account within one business day of award. Purchases through other sites or vendors do not qualify for Points. Members must provide their Valrhona Rewards e-mail address to have any points credited to his or her account.
Points may be redeemed for products available at www.valrhona-chocolate.com exclusively. Points have no cash value and may not be redeemed for cash. Points may be redeemed only by a Member in good standing. No adjustments on previous purchases. Points and other benefits are non-transferable and may not be combined with any other offers or discount.
Supplies of products redeemable with Points may be limited in the discretion of Valrhona. Products that are subject to delayed or incomplete online execution may cease to be available. Due to the limited nature of certain Products redeemable for Points, Valrhona regrets that it is unable to ship replacements for orders purchased with Points that arrive damaged, incomplete or otherwise compromised.
3. Point Expiration
Valrhona’s hope is that Members redeem points on a regular basis. All unredeemed points shall expire when a Member has not logged in using his or her membership account (through purchase or redemption) for 18 months or more.
In addition, points will automatically expire if a Membership is revoked or otherwise canceled for any reason.
4. Membership Levels
A. Silver Feve Status/ Chocolate Enthusiast
Chocolate Enthusiast Status is conferred on Valrhona Rewards members for separate periods of twelve months each (each, an “Membership Year”). The first Membership Year will begin on a Member’s enrollment date in the Program. Any subsequent Membership Year will begin on the applicable one-year anniversary thereafter. The status of “Chocolate Enthusiast” will be conferred on a member for any Membership Year in which he or she earns at least 1,500 points and for the Membership Year immediately following (the “Subsequent Membership Year”). Points may be carried from year to year, but Chocolate Enthusiast status will not continue past the applicable Subsequent Membership Year unless the Member earns at least another 1,500 points during the applicable Subsequent Membership Year. For example, if a member enrolls on 1 September 2018 and earns 1,500 points by 1 September 2019, he or she will enjoy Chocolate Enthusiast status from the time the 1,500 points are accrued until 1 September 2020. If he or she earns an additional 1,500 points between 1 September 2019 and 1 September 2020, he or she will retain Chocolate Enthusiast status through 1 September 2021.
A member reaching Chocolate Enthusiast status for the first time will receive a onetime 100-point bonus and, for the duration of the Membership Year in which the status first was achieved, 10% off Pastry Classes, as well as invitations to exclusive events. He or she also will receive a coupon code that may be redeemed for one free standard shipping to an address in the U.S. The coupon code must be redeemed within 60 days of issuance.
B. Golden Feve Status/ Chocolate Connoisseur
“Chocolate Connoisseur” will be conferred on Valrhona Rewards members for any Membership Year (and the Subsequent Membership Year) in which he or she earns at least 3000 points. Eligibility for Chocolate Connoisseur status in additional Membership Years may be earned in the same manner as described for Chocolate Enthusiast status, but applying the higher threshold.
A Member reaching Chocolate Connoisseur status for the first time will receive a onetime 200 point bonus and, for the duration of the Membership Year in which the status first was achieved, 15% off Pastry Classes, as well as invitations to exclusive events, and free standard shipping to addresses in the U.S.
C. 50 Point Valrhona Rewards Welcome Offer
New Valrhona Rewards Members will receive a one-time bonus of 50-point bonus upon becoming a Member. Not available for requalifications.
5. Once You Become a Member
A. Privacy

B. Communications with Valrhona
By submitting an application for Membership in the Program, you agree to receive advertising, marketing materials and other communications from Valrhona. Members also automatically receive Program emails.
C. Changes, Termination And/Or Removal From Program
Valrhona may, in its sole discretion, alter, limit, or modify in whole or in part the Program and its rules, regulations, benefits, eligibility for Membership, or any other feature of the Program (including assigning any of its obligations to customers under the Program at any time to another person or entity, without recourse) or may terminate all or part of the Program at any time at its sole discretion, by posting any such changes on www.valrhona-chocolate.com. YOUR CONTINUED USE OF THE WEBSITE FOLLOWING SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES.
Valrhona reserves the right to exclude or remove individuals from the Program in its sole discretion. Any abuse of the Program, failure to follow any terms of the Program, Membership inactivity for more than 18 months, any misrepresentation or any conduct detrimental to the interests of Valrhona not otherwise protected by law may subject a Member to Membership revocation and will affect eligibility for further participation in the Program. Membership is non-transferable and Membership purchases and redemptions are made only by the Member. If a Membership is revoked or otherwise canceled, any accumulated points will automatically expire. Valrhona reserves the right to make changes to its Website and these Terms at any time. It is the responsibility of the Member to review these Terms from time to time to keep informed of any changes. By joining the Program, Member hereby agrees to be bound by any such changed Terms.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MEMBER EXPRESSLY UNDERSTANDS AND AGREES THAT VALRHONA SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE (INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPT OR OTHERWISE) ARISING OR RESULTING FROM (1) THIS AGREEMENT OR THE PURCHASE OF PRODUCTS, (2) USE OF OR INABILITY TO USE THE WEBSITE OR ANY OF THE CONTENT, SERVICES OR INFORMATION PROVIDED ON OR THROUGH THE WEBSITE, (3) ANY PRODUCTS, SERVICES OR INFORMATION OFFERED, SOLD OR DISPLAYED ON OR THROUGH THE WEBSITE, (4) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL MEMBER INFORMATION STORED THEREIN, (5) ANY INTERRUPTION OR CESSATION OF THE WEBSITE OR TRANSMISSIONS TO OR FROM THE WEBSITE, AND (6) ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE WEBSITE BY ANY THIRD PARTY. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER VALRHONA OR ANY OF ITS PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, VALRHONA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE WEBSITE, CONTENT OR PRODUCTS, SERVICES OR INFORMATION OFFERED, SOLD OR DISPLAYED ON OR THROUGH THE WEBSITE WILL BE THE LESSER OF (A) THE AMOUNT OF MONEY THE MEMBER HAS SPENT ON PURCHASES THROUGH THE WEBSITE DURING THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (B) $50.00.
